Liveassist — Terms and Conditions

Liveassist is a communication and text-management service operated by CMCD Solutions LTD, a registered company in Tbilisi, Georgia. The service enables companies to store, manage, and use text-based content to assist in customer communication via chat, email or other.

1. Service Ownership and Access

Liveassist is a standalone product owned and managed by CMCD Solutions LTD (“the Company”).
Service access is granted to a company owner who purchases the service. The owner may create, manage, and delete administrative and standard user accounts within their organization.
Each organization's data and users are isolated and managed independently.

2. Account Registration and Management

Upon purchase, the owner is able to register users and provide optional company information, including company name, department, and user details (name, surname, email, and role).
Account credentials are delivered to users via email. Owners are responsible for maintaining the confidentiality of all login information.
The number of users is limited to the plan selected by the owner at the time of purchase.
Plan may be always upgraded, but never to be downgraded.

3. Acceptable Use

Users shall not use Liveassist for any activity that is unlawful, offensive, defamatory, or in violation of the Constitution of Georgia.
The platform is strictly for storing and retrieving text-based content intended for customer support or internal communication purposes.
Automated systems, bots, or AI-driven operations are not permitted within the platform without permission of the Company.

4. Data Storage and Protection

All data is securely stored using Railway PostgreSQL infrastructure. CMCD Solutions does not share, sell, or otherwise disclose user data to any third party.
Data is stored solely for the operational purpose of Liveassist and may include text content, user identifiers, and company information.
Personal data is processed in accordance with applicable Georgian privacy laws and GDPR standards where applicable.
Users may request data deletion at any time through their organization’s administrator.

5. Cookies and Authentication

Liveassist uses cookies strictly to store authentication tokens necessary for account access and security.
No analytics, tracking, or behavioral data collection is performed.
Any user activity may be visible for admins and owners, but from the company it is never shared to third-party.

6. Payments, Refunds, and Cancellation

Liveassist is a paid service with no free trial. Clients may choose a monthly or yearly subscription plan.
A two-month money-back guarantee applies from the date of purchase. If the service is canceled within this period, the payment will be refunded.
For yearly subscriptions, only the first two months are eligible for refund (formula: x/12*2); subsequent months are non-refundable.
Upon cancellation, all company-related data will be permanently deleted, and refund eligibility will cease immediately.

7. Service Availability

CMCD Solutions LTD endeavors to maintain continuous service availability but does not guarantee uninterrupted or error-free operation.
Maintenance, updates, or external factors may cause temporary service interruptions.

8. Liability Disclaimer

The Company shall not be held liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Liveassist service.
While every effort is made to ensure reliability and data security, CMCD Solutions LTD provides the service “as is” without warranties of any kind.
Users are responsible for maintaining backups of critical data and for ensuring lawful usage of stored content.

9. Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Georgia.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia.

Performance — Terms and Conditions

Performance is a performance evaluation and management service operated by CMCD Solutions LTD, a registered company in Tbilisi, Georgia. The platform enables companies to assess employee performance, manage evaluation data, and monitor key performance indicators (KPIs) within their organization.

1. Service Ownership and Access

Performance is a standalone product owned and managed by CMCD Solutions LTD (“the Company”).
Access is granted to the purchasing company owner, who may create, manage, and delete user accounts within their organization.
Each organization operates in an isolated environment where data and users are not shared between clients.

2. Account Registration and Management

Upon purchase, the owner is able to register users and provide optional company and user details, including name, surname, email, department, and role (agent, manager, assessor, or senior roles).
User credentials are sent via email, and the owner is responsible for maintaining account confidentiality.
The number of users is limited by the selected subscription plan. Plans may be upgraded but cannot be downgraded.

3. Acceptable Use

Users must not input, store, or transmit any unlawful, offensive, or defamatory content or any data that violates the Constitution of Georgia or applicable law.
All performance data, assessments, and KPIs must be entered manually by authorized assessors or managers.
The use of automated tools, bots, or AI-based systems to modify or generate performance results is strictly prohibited.
The service is intended solely for legitimate internal performance assessment and management purposes.

4. Data Storage and Protection

All user and performance data is securely stored using Railway PostgreSQL infrastructure.
CMCD Solutions LTD does not share, sell, or disclose any user or company data to third parties.
Data stored may include names, emails, roles, departments, assessment records, KPIs, and related scoring.
All processing complies with Georgian privacy laws and applicable GDPR standards.
Upon cancellation, all organization data is permanently deleted from the system.

5. Cookies and Authentication

Performance uses cookies solely for authentication and secure user session handling.
No tracking, behavioral analytics, or third-party cookies are utilized.
User activities within an organization may be visible to authorized admins but are never shared externally.

6. Payments, Refunds, and Cancellation

Performance is a paid service offered under monthly or yearly subscription models.
A two-month money-back guarantee applies from the purchase date. If canceled within this period, a refund will be issued.
For yearly subscriptions, only the first two months qualify for refund (formula: x/12*2); subsequent months are non-refundable.
Upon cancellation, company data and user accounts are permanently deleted, and refund eligibility ceases immediately.

7. Service Availability

CMCD Solutions LTD strives to maintain continuous service availability but cannot guarantee uninterrupted operation.
Maintenance activities, updates, or external factors may temporarily limit access.

8. Liability Disclaimer

The Company shall not be held liable for indirect, incidental, or consequential damages resulting from the use or inability to use the Performance service.
CMCD Solutions LTD provides the service “as is” without warranties of any kind regarding performance accuracy or uptime.
Users are responsible for ensuring accuracy of data entered and compliance with their organization’s policies and laws.

9. Jurisdiction

These Terms and Conditions are governed by the laws of Georgia.
All disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia.

Schedule — Terms and Conditions

Schedule is a web-based shift and scheduling management service operated by CMCD Solutions LTD, a registered company in Tbilisi, Georgia. The service enables companies to organize, store, and manage employee shifts, dates, and related information.

1. Service Ownership and Access

Schedule is a standalone product owned and managed by CMCD Solutions LTD (“the Company”).
Service access is granted to a company owner who purchases the service. The owner may create, manage, and delete administrative and standard user accounts within their organization, including team managers and other roles as needed.
Each organization's data and users are isolated and managed independently.

2. Account Registration and Management

Upon purchase, the owner is able to register users and provide optional company information, including company name, department, and user details (name, surname, email, role, salary per hour).
Account credentials are delivered to users via email. Owners are responsible for maintaining the confidentiality of all login information.
The number of users and schedules is limited according to the selected subscription plan.
Plans may be upgraded at any time, but downgrades are restricted.

3. Acceptable Use

Users shall not use Schedule for any activity that is unlawful, offensive, defamatory, or in violation of the Constitution of Georgia.
The platform is strictly for storing and managing shift schedules, employee data, and related operational information.
Automated systems, bots, or AI-driven operations are not permitted within the platform without explicit permission from the Company.

4. Data Storage and Protection

Continued use of the services constitutes acceptance of any such changes. Users are responsible for periodically reviewing the Terms to remain informed of updates.
Company Policies: In addition to these Terms, company-specific policies, guidelines, or usage agreements may apply and take precedence in certain operational contexts. Users must comply with all applicable rules and regulations.
Service Provision: All services are provided on a standalone basis and “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted access.
User Responsibility: Users are responsible for all actions taken under their accounts, including adherence to applicable laws, regulations, and ethical standards. Misuse or unlawful activity may result in suspension or termination of access at the Company’s discretion.
Data Handling and Privacy: All user and company data is securely stored using the Company's infrastructure (e.g., Railway PostgreSQL). The Company does not sell, share, or disclose data to any third parties. Users are responsible for understanding and complying with data handling rules, including deletion requests.
Cookies and Access: The Company uses cookies only to store authentication tokens and ensure secure access. No tracking or behavioral analytics are performed without explicit consent.
Contract Termination: Users (owners) may terminate their subscription or service contract at any time by notifying the Company through designated channels. Termination shall result in the deletion of all company-specific data unless otherwise agreed. Refunds, if applicable, will follow the terms of the subscription plan. CMCD Solutions LTD also reserves the right to terminate any subscription or service contract at its sole discretion, at any time, without providing a reason or prior notice.
Jurisdiction and Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of Georgia. Any disputes arising from the use of the services shall be subject to the exclusive jurisdiction of the competent courts in Tbilisi, Georgia.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Limitation of Liability: To the fullest extent permitted by law, the Company’s liability is limited to the amount paid by the user for the service during the previous subscription period. The Company shall not be liable for any indirect, special, or consequential damages, including loss of profits or data.
Force Majeure: The Company shall not be held responsible for delays or failures due to causes beyond its reasonable control, including natural disasters, technical failures, cyberattacks, or other unforeseen events.
Entire Agreement: These Terms, along with any service-specific Terms, company policies, and notices, constitute the entire agreement between users and CMCD Solutions LTD regarding the use of its services.
